These Terms and Conditions (“Terms”) govern your access to and use of the North Bridge 360 website and platform (the “Platform”). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms.

If you do not agree, you may not use the Platform.

1. Overview of Services

North Bridge 360 provides a web-based 360-degree feedback and leadership assessment platform designed to collect, aggregate, and present multi-rater feedback data for professional development purposes.

The Platform provides tools for survey distribution, feedback collection, reporting, and analytics. North Bridge 360 does not provide legal, HR, psychological, employment, or professional advisory services.

2. Intended Use

The Platform is designed for developmental, coaching, and organizational improvement purposes.

It is not designed, intended, or warranted for:

  • Employment termination decisions
  • Disciplinary actions
  • Promotion determinations
  • Compensation decisions
  • Legal compliance assessments
  • Psychological diagnosis
  • Medical or mental health evaluations

Users are solely responsible for determining how assessment results are interpreted and applied within their organization.

3. User Responsibility and Independent Judgment

You acknowledge and agree that:

  • All survey results are informational tools only.
  • Interpretation of results requires professional judgment.
  • North Bridge 360 does not validate employment decisions made using the Platform.
  • You are solely responsible for how feedback data is used within your organization.

You agree to independently evaluate the appropriateness, fairness, and legality of any employment or organizational decision influenced by Platform results.

4. Compliance with Laws

You are solely responsible for ensuring that your use of the Platform complies with all applicable laws and regulations, including but not limited to:

  • Employment laws
  • Labor regulations
  • Anti-discrimination laws
  • Data protection and privacy laws
  • Workplace fairness and due process requirements

North Bridge 360 does not warrant that use of the Platform satisfies legal obligations in any jurisdiction.

5. Prohibited Use

You agree not to use the Platform:

  • In violation of applicable law
  • In a discriminatory or retaliatory manner
  • To unlawfully profile, penalize, or target employees
  • To harass or intimidate individuals
  • To conduct assessments without proper notice where required by law

Improper or unlawful use of assessment results is strictly prohibited.

6. No Employment Advice or Liability

North Bridge 360 is not responsible for:

  • Employment decisions made based on assessment results
  • Organizational disputes arising from feedback
  • Claims of wrongful termination, discrimination, or retaliation
  • Workplace morale or cultural outcomes
  • Misinterpretation of survey data

All business, HR, and legal decisions remain solely the responsibility of the customer organization.

You agree to indemnify and hold harmless North Bridge 360 from any claims arising from your use or misuse of assessment results.

7. Disclaimer of Warranties

The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of results
  • Continuous availability

We do not guarantee that:

  • The Platform will meet your expectations
  • Results will improve performance
  • Data will produce specific outcomes

Use of the Platform is at your own risk.

8. Limitation of Liability

To the fullest extent permitted by law, North Bridge 360 shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages
  • Lost profits or lost revenue
  • Business interruption
  • Reputational harm
  • Employment-related claims
  • Data misinterpretation

Our total liability for any claim shall not exceed the amount paid by you for the Platform in the preceding twelve (12) months.

9. Indemnification

You agree to defend, indemnify, and hold harmless North Bridge 360 and its affiliates from any claims, damages, liabilities, costs, or expenses arising from:

  • Your use of the Platform
  • Your interpretation of assessment results
  • Employment or organizational decisions influenced by survey data
  • Violations of law
  • Claims brought by employees, contractors, or third parties

10. Data and Confidentiality

You are responsible for:

  • Providing appropriate notice to participants
  • Obtaining required consents
  • Configuring anonymity thresholds appropriately
  • Protecting exported reports

North Bridge 360 is not responsible for misuse of reports after download or distribution.

11. Account Security

You are responsible for maintaining the confidentiality of account credentials. We are not liable for unauthorized access resulting from your failure to secure your account.

12. Service Availability

We may modify, suspend, or discontinue the Platform at any time without liability. We do not guarantee uninterrupted service.

13. Intellectual Property

All Platform content, software, branding, and materials are the intellectual property of North Bridge 360. You may not copy, reverse engineer, or redistribute the Platform without permission.

14. Termination

We may suspend or terminate accounts that:

  • Violate these Terms
  • Use the Platform unlawfully
  • Create legal or reputational risk

Upon termination, access to the Platform may be revoked.

15. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which North Bridge 360 is incorporated, without regard to conflict-of-law principles.

16. Changes to Terms

We may update these Terms periodically. Continued use of the Platform constitutes acceptance of revised Terms.
